Societas Unius Personae (SUP) (Directive)

The Commission wants to facilitate the establishment of a new form of company known as "Societas Unius Personae (SUP)". A SUP is a private limited liability company with one share owned by a single shareholder. The Directive obliges Member States to introduce the SUP into their legal systems.

Status

In addition to the provisions of the Directive, the SUP will also be subject to the legislation of the Member State in which the SUP is registered. It is not apparent to third parties which country this is. This may lead to uncertainty on the part of potential business partners. The SUP cannot be based on the competence to attain freedom of establishment but only on the flexibility clause.
